5. User Content and Conduct

5.1 Content License

By uploading, submitting, storing, sending, or receiving Content through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, create derivative works, communicate, publish, display, and distribute such Content for the purpose of operating, providing, and improving our Services.

5.2 Content Responsibility

You are solely responsible for all Content that you submit, upload, or otherwise make available through the Services. You represent and warrant that:

• You have all necessary rights to submit the Content
• The Content does not infringe upon or violate any third-party rights
• The Content complies with these Terms and all applicable laws

5.3 Prohibited Content

You agree not to submit or share Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

6. Intellectual Property Rights

Our Services and all related content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Pascal.ai or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in or to our Services or any content on our Services, other than the limited license expressly set forth in these Terms. All rights not expressly granted to you are reserved by Pascal.ai and its licensors.

7. Subscriptions and Payments

7.1 Fees and Billing

Some of our Services may require payment of fees. All fees are stated in US dollars unless otherwise specified. You agree to pay all fees in accordance with the pricing and payment terms presented to you for the Services. You authorize us to charge your designated payment method for these fees.

7.2 Subscription Terms

For subscription-based Services, your subscription will automatically renew at the end of each subscription period unless you cancel it. You may cancel your subscription at any time through your Account settings or by contacting us. If you cancel, your subscription will remain active until the end of the current billing period.

7.3 Refunds

Except as required by law, all purchases are non-refundable. However, we may, at our sole discretion, provide a refund, discount, or other consideration in certain circumstances. The provision of any such refund in one instance does not entitle you to a refund in the future under similar circumstances.

8. Termination

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If your Account is terminated, we may delete any Content or other materials associated with your Account.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PASCAL.AI OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN ANY CASE, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO PASCAL.AI FOR THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO SUCH PAYMENT HAS BEEN MADE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pascal.ai and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any Intellectual Property Right or privacy right
• Any claim that your Content caused damage to a third party

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall be conducted in San Francisco, California, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms.

14. Miscellaneous

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Pascal.ai concerning the Services.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice.
